Terms of Service

1. Acceptance of Terms

By accessing or using StayPaid (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration and Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

4. Acceptable Use

You may use the Service solely for its intended purpose: sending payment recovery communications to your existing customers. You agree not to:

  • Send unsolicited communications, spam, or harassing messages
  • Use the Service to communicate with individuals who are not your customers
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Service
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Use the Service for any illegal or fraudulent purpose

5. Payment and Subscription

The Service operates on a freemium model:

  • Your first 3 payment recoveries are provided at no charge
  • Subsequent usage requires a paid subscription at $29.00 USD per month
  • Subscriptions are billed in advance and are non-refundable for partial months
  • You may cancel your subscription at any time through your account settings

6. Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our reasonable control. We will make reasonable efforts to notify users of scheduled maintenance.

7. Data Ownership

You retain all ownership rights to your data, including customer information, email content, and account settings. We claim no ownership over your data. We process your data solely to provide the Service and in accordance with our Privacy Policy.

8. Intellectual Property

The Service, including all software, designs, trademarks, and content provided by us, is owned by StayPaid and protected by applicable intellectual property laws. These Terms do not grant you any license to use our intellectual property except as necessary to use the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DUNNING TOOL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

You may terminate your account at any time by deleting it through the Service interface. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Romania.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
